Keenly INTELLECTUAL PROPERTY POLICY

Last updated: 16 September 2026

Keenly is an AI-assisted platform for analyzing brand materials and creating merchandise designs and production-ready files. We respect intellectual-property rights and expect users to do the same.

This Policy explains user responsibilities, how Keenly treats inputs and AI-generated outputs, and how rights holders can report suspected infringement.

1. USER RESPONSIBILITY FOR INPUTS

Keenly may allow you to submit a website URL, upload logos, images, fonts, brand guidelines or other materials, and provide prompts or instructions (“Input”).

You may only submit or direct Keenly to process Input that you own or are authorized to use for the requested purpose. You are responsible for obtaining any permissions, licenses or approvals required for trademarks, copyrighted works, photographs, fonts, designs, publicity rights and other protected material.

A website being publicly accessible does not mean its content is free to copy, modify, print or commercialize. Keenly’s ability to retrieve or analyze content from a URL does not constitute permission from the relevant rights holder.

2. WEBSITE AND BRAND ANALYSIS

When you provide a URL, Keenly may identify or process brand elements such as logos, colors, typography, imagery, visual styles and related information to provide the requested Service.

Keenly does not conduct legal ownership, trademark-clearance, copyright-clearance or licensing checks merely by analyzing a website. Extracted or identified assets remain subject to any rights and restrictions that applied before they were processed by Keenly.

You should not use Keenly to imitate, impersonate or commercially exploit a third-party brand without authorization.

3. YOUR CONTENT

You retain any ownership rights you already have in your Input. Keenly does not take ownership of private customer uploads merely because they are processed through the Service.

You give Keenly a limited, non-exclusive license to host, copy, retrieve, process, transform and transmit Input only as reasonably necessary to provide, secure, maintain and support the Service, and as otherwise described in the Terms of Service and Privacy Policy.

Keenly does not use private customer projects for generalized AI model training by Keenly unless we clearly offer that option and you choose to participate, or another lawful basis expressly applies.

4. AI-GENERATED OUTPUT

Keenly may use artificial intelligence to generate brand analysis, graphics, merchandise designs and production files (“Output”).

As between you and Keenly, and to the extent permitted by applicable law, Keenly does not claim copyright ownership over Output generated specifically for you and assigns or grants to you any rights Keenly may have in that Output, subject to third-party rights and the Terms of Service.

This does not mean that every Output qualifies for copyright, trademark, design or other intellectual-property protection. Laws concerning AI-generated material differ between jurisdictions and may depend on the nature and degree of human authorship or contribution.

AI outputs may not be unique. Similar or identical material may be generated for other users or may resemble existing third-party material.

5. COMMERCIAL USE AND MERCHANDISE

Keenly allows Output to be used for lawful commercial projects subject to the Terms of Service. However, before printing, selling, advertising or distributing merchandise, you are responsible for confirming that your intended use does not violate third-party rights.

In particular, you should consider whether an Output includes or resembles:

  • a protected trademark or trade dress;
  • copyrighted artwork, photography or graphics;
  • protected fonts or licensed visual assets;
  • registered or unregistered designs;
  • a person’s name, image, likeness or publicity rights;
  • other material subject to contractual or licensing restrictions.

Keenly does not guarantee that Output is unique, registrable, non-infringing or cleared for commercial use.

6. PROHIBITED IP-RELATED USE

You may not use Keenly to knowingly:

  • create counterfeit or unauthorized branded merchandise;
  • reproduce or adapt protected material without sufficient rights;
  • falsely imply affiliation, sponsorship or endorsement;
  • impersonate a brand, creator or rights holder;
  • remove or circumvent rights-management information or technical protection measures unlawfully;
  • repeatedly generate or distribute material after being notified that the use infringes third-party rights.

7. REPORTING COPYRIGHT OR TRADEMARK INFRINGEMENT

If you believe material available through or processed by Keenly infringes intellectual-property rights you own or are authorized to enforce, send a notice to us.

Please include:

  • your full name and contact information;
  • identification of the right you believe is infringed, including registration details where relevant;
  • identification of the Keenly content, project or material at issue, with enough information for us to locate it;
  • an explanation of why you believe the use is unauthorized;
  • a statement that the information in your notice is accurate and that you are the rights holder or authorized to act for the rights holder;
  • any supporting evidence reasonably necessary to assess the report.

For copyright notices concerning the United States, we may request additional information required for a valid notice under applicable law, including the Digital Millennium Copyright Act (DMCA), if applicable to Keenly’s role and operations.

8. WHAT Keenly MAY DO AFTER A REPORT

We may review the report, request additional information, restrict access to disputed material, remove material, contact the affected user, preserve relevant records where legally appropriate, or take no action if the report is incomplete or unsupported.

Where appropriate, we may give the affected user an opportunity to respond. Keenly does not act as a court and a moderation or takedown decision is not a final legal determination of ownership or infringement.

9. REPEAT OR SERIOUS INFRINGEMENT

We may suspend or terminate accounts involved in repeated or serious infringement, counterfeiting, fraudulent impersonation or deliberate misuse of third-party intellectual property, taking into account the circumstances and applicable law.

10. FALSE OR ABUSIVE REPORTS

Do not submit knowingly false, misleading or abusive infringement notices. A person who materially misrepresents an infringement claim may be responsible for resulting harm or costs under applicable law.

11. Keenly INTELLECTUAL PROPERTY

The Keenly Service, software, interface, brand, name, logos, documentation and proprietary technology are owned by Keenly or its licensors and are protected by applicable intellectual-property laws. No right to use Keenly trademarks or proprietary technology is granted except as expressly provided in the Terms of Service.
