Keenly TERMS OF SERVICE

Last updated: 16 September 2026

These Terms of Service (“Terms”) govern your access to and use of https://bykeenly.com/ and Keenly’s AI-assisted brand and merchandise design platform (the “Service”). By creating an account or using the Service, you agree to these Terms.

If you do not agree to these Terms, do not use the Service.

1. THE SERVICE

Keenly lets users submit website URLs and brand materials, analyze brand elements with AI-assisted technology, generate brand kits and merchandise designs, and create files intended for production or printing. Features may change as the Service develops.

Keenly uses third-party technology, including AI services. Outputs may be generated probabilistically and can contain errors, omissions or similarities to existing content.

2. ELIGIBILITY AND ACCOUNTS

You must be at least 18 years old and legally capable of entering into a binding agreement. If you use Keenly for an organization, you represent that you have authority to bind that organization to these Terms.

You must provide accurate account information, keep credentials secure and promptly notify us of suspected unauthorized access. You are responsible for activity conducted through your account unless applicable law provides otherwise.

3. YOUR INPUTS AND RIGHTS

“Input” means URLs, prompts, logos, images, fonts, brand guidelines, files, instructions and other materials you submit or direct Keenly to process.

You retain any rights you already hold in your Input. You grant Keenly a worldwide, non-exclusive, royalty-free license to host, copy, retrieve, process, transform and transmit Input only as reasonably necessary to provide, secure, maintain and support the Service and to comply with law.

By submitting Input, you represent and warrant that you own it or have all rights, licenses, permissions and lawful authority necessary for Keenly to process it as requested. This includes rights relating to websites, trademarks, logos, copyrighted works, images, fonts and other third-party materials.

Submitting a publicly accessible URL does not itself establish that you have permission to use content found at that URL. Keenly does not verify ownership or licensing rights in submitted or extracted content.

4. AI-GENERATED OUTPUTS

“Output” means brand analysis, brand kits, text, graphics, merchandise designs, production files and other material generated or produced through the Service.

As between you and Keenly, and to the extent permitted by applicable law, Keenly does not claim ownership of your Input and assigns or grants to you any rights Keenly may have in Output generated specifically for you, subject to third-party rights and these Terms.

AI-generated Output may not be unique. Other users may receive identical or similar results. Keenly does not guarantee that Output is copyrightable, registrable, original, exclusive, accurate, non-infringing or eligible for trademark, design or other intellectual-property protection in any jurisdiction.

You are responsible for reviewing Output before publishing, selling, manufacturing, printing or otherwise using it, particularly for commercial purposes.

5. COMMERCIAL AND PRODUCTION USE

Subject to these Terms, you may use Output for lawful personal or commercial purposes. However, Keenly’s technical ability to generate or export an asset is not a representation that you have the legal right to use it.

Before production, you are responsible for checking dimensions, placement, colors, print specifications, manufacturing requirements, trademarks, copyrights, design rights, licenses and other relevant rights or restrictions.

Keenly does not provide trademark clearance, copyright clearance, legal opinions, print-production certification or a guarantee that any Output is safe for commercial use.

6. THIRD-PARTY AI AND SERVICES

Keenly may use third-party providers, including OpenAI, Anthropic, Supabase, Stripe, Google Analytics and other infrastructure or technology partners. Relevant Input may be transmitted to such providers when necessary to provide requested functionality. Their services may be subject to separate technical limitations and data-processing arrangements.

Keenly’s Privacy Policy explains how personal data is handled.

7. ACCEPTABLE USE

You may not use Keenly to:

  • violate law or the rights of another person;
  • infringe or facilitate infringement of copyright, trademark, design, publicity, privacy or other rights;
  • create counterfeit merchandise or falsely suggest sponsorship, affiliation or endorsement;
  • impersonate another person, business or brand without authorization;
  • submit content you are not authorized to process;
  • generate or distribute unlawful, fraudulent, abusive or exploitative content;
  • introduce malware or interfere with the security or operation of the Service;
  • probe, scan, bypass or circumvent access controls, safety systems or usage limits;
  • access internal, local or private network resources through Keenly’s URL-processing features;
  • use automated means to scrape or overload the Service except where expressly authorized.

We may restrict or suspend use reasonably believed to violate these Terms, create security risk or expose Keenly or others to legal harm.

8. SUBSCRIPTIONS AND PAYMENTS

Paid features may be offered through recurring subscriptions or other plans. Before purchase, Keenly will display the applicable price, billing frequency and material plan conditions. By purchasing a recurring plan, you authorize charges at the stated intervals until cancellation.

Payments are processed through Stripe or another disclosed payment provider. Taxes may apply depending on your location and status.

Cancellation takes effect according to the plan terms shown at purchase. Except where required by law or expressly stated otherwise, fees already paid are non-refundable. Mandatory consumer rights, including cancellation or refund rights that cannot lawfully be excluded, remain unaffected.

9. INTELLECTUAL PROPERTY OF Keenly

Keenly and its licensors retain all rights in the Service itself, including its software, interface, branding, documentation and technology, excluding your Input and rights granted to you in Output under these Terms.

These Terms do not grant you a right to use Keenly’s name, logos or trademarks except as necessary to identify the Service in a truthful manner.

10. IP COMPLAINTS

We respect intellectual-property rights. If you believe content processed or made available through Keenly infringes your rights, follow our Intellectual Property Policy. We may remove or restrict content and may suspend repeat or serious infringers where appropriate.

11. PRIVACY

Our Privacy Policy explains how we collect and process personal data. Our Cookie Policy explains our use of cookies and similar technologies.

12. SERVICE CHANGES AND AVAILABILITY

Keenly is an evolving service. We may add, modify, limit or discontinue features, models, integrations or usage limits. We aim to maintain a reliable Service but do not guarantee uninterrupted or error-free availability.

13. DISCLAIMERS

To the maximum extent permitted by applicable law, the Service and Output are provided “as is” and “as available”. Keenly disclaims warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted availability.

AI and automated analysis can be inaccurate. Keenly does not independently verify submitted websites, brand ownership, licensing status, generated Output, production suitability or legal compliance of your intended use.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Keenly will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, data or business opportunities arising from the Service.

To the maximum extent permitted by law, Keenly’s aggregate liability arising out of or relating to the Service will not exceed the greater of (a) amounts you paid to Keenly during the 12 months preceding the event giving rise to liability or (b) EUR 100 if you used only free services.

These limitations do not apply where liability cannot legally be limited, including any mandatory consumer protections or liability for fraud, willful misconduct or other categories that applicable law prohibits us from excluding.

15. INDEMNITY

To the extent permitted by law, if you use Keenly for business or professional purposes, you will indemnify and hold Keenly harmless from third-party claims, losses and reasonable costs arising from your Input, your unauthorized use of third-party intellectual property, your commercial use of Output, or your material violation of these Terms.

This section does not apply to consumers to the extent prohibited by applicable consumer law.

16. TERMINATION

You may stop using Keenly at any time and may delete your account through available account controls. We may suspend or terminate access for material or repeated violations of these Terms, security threats, fraud, non-payment, legal requirements or conduct that creates substantial risk to Keenly or others.

Where reasonable and legally permitted, we will provide notice before termination. Provisions that by their nature should survive termination—including intellectual-property, payment, disclaimer, liability and dispute provisions—will survive.

17. CHANGES TO THESE TERMS

We may update these Terms to reflect product, business or legal changes. We will post the revised Terms and update the date above. For material changes, we will provide additional notice where required by law. Continued use after an effective update constitutes acceptance where legally permitted.
